01 Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", "your") and Tradeweb Limited, trading as Tradeflood AI (RC 8946341), a company incorporated under the laws of the Federal Republic of Nigeria ("Company", "we", "us", "our").

By taking any of the following actions, you signify your unconditional acceptance of these Terms:

If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings between you and Tradeflood AI with respect to the subject matter herein.

02 Definitions

For the purposes of these Terms, the following definitions apply:

"Service"All features, functionality, content, and services provided by Tradeflood AI, including the Platform, waitlist, beta programme, referral system, and any associated communications.
"Waitlist"The pre-launch registration programme at tradeflood.ai through which users register interest in the Platform before its public launch.
"Beta Programme"The closed pre-launch testing programme open to a maximum of 200 selected Waitlist participants.
"Beta Tester"A Waitlist participant accepted into the Beta Programme, subject to the cap of 200 participants.
"Bot"Any of the 20 named AI-powered algorithmic trading strategies made available through the Platform.
"PPE"Profit Protection Engine — the pre-trade validation system that assesses expected net profitability before authorising trade execution.
"API Key"Authentication credentials issued by a third-party exchange that grant the Platform permission to read data and place trades on your behalf.
"Subscription"A paid plan (STARTER, GROWTH, PRO, or ENTERPRISE) that governs your access to Platform features.
"Referral Code"A unique alphanumeric code assigned to each verified Waitlist member (and the Company itself — code: TF-OFFICIAL) used to track referrals and allocate benefits.
"Virtual Funds"Simulated capital used exclusively during the Beta Programme; not real money and carrying no monetary value.
"Personal Data"Any information relating to an identified or identifiable natural person, as defined by the Nigeria Data Protection Act 2023.
"Sanctions List"Any list maintained by OFAC (USA), OFSI (UK), the United Nations Security Council, the European Union, or any Nigerian government authority designating restricted persons or entities.
"Intellectual Property"All patents, copyrights, trademarks, trade secrets, algorithms, designs, software code, and other proprietary rights owned or licensed by the Company.

03 About Tradeflood AI

Tradeflood AI is a non-custodial, mobile-first, AI-powered cryptocurrency and multi-asset arbitrage trading platform. The Service provides:

Tradeflood AI is a software tool only. We do not provide financial advice, investment advice, portfolio management services, or brokerage services. We are not a regulated financial institution. All trading decisions are executed autonomously by the algorithms you activate using your own exchange API keys. We never take custody of your funds.

04 Eligibility

To register for the Waitlist, participate in the Beta Programme, or use any part of the Service, you must satisfy all of the following requirements:

4.1 Age

You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher. By registering, you represent that you meet this requirement. We do not knowingly collect information from or provide services to minors.

4.2 Legal Capacity

You must have the full legal capacity to enter into a binding contract in your jurisdiction. If you are under any legal disability, guardianship order, or bankruptcy restriction that limits your contractual capacity, you may not use the Service.

4.3 Jurisdiction

You must not be located in, a citizen of, or a resident of any country, territory, or region that is subject to comprehensive sanctions administered by any of the following:

Restricted jurisdictions currently include, without limitation: Iran, North Korea, Russia, Belarus, Syria, Cuba, Venezuela, Myanmar, Sudan, Crimea, and the Donetsk and Luhansk regions. This list is subject to change without notice in accordance with applicable sanctions law.

4.4 Compliance

You must comply with all applicable local, national, and international laws, regulations, and rules in your jurisdiction governing cryptocurrency trading, algorithmic trading, foreign exchange, and financial services generally. It is your sole responsibility to determine whether using the Service is lawful where you are located.

4.5 Representations

By registering, you represent and warrant that: (a) you meet all eligibility requirements above; (b) all information you provide is accurate, complete, and current; and (c) your use of the Service will not violate any applicable law or the rights of any third party. We reserve the right to request evidence of eligibility at any time and to terminate accounts where eligibility cannot be confirmed.

05 Waitlist Programme

5.1 Nature of the Waitlist

The Tradeflood AI Waitlist is a pre-launch registration programme that allows interested users to express intent to use the Service prior to its public launch. Joining the Waitlist does not constitute an account, a contract for services, a reservation of platform access, or any financial commitment by either party.

5.2 Registration Process

To join the Waitlist you must provide your first name, last name, email address, Telegram username, and area of trading interest. You must also agree to these Terms by ticking the mandatory consent checkbox. Upon submission, you will receive an email containing a verification link. Your Waitlist registration is only confirmed upon your clicking that link. Verification links expire after 48 hours; unverified submissions are not retained.

5.3 Data Collected at Registration

By completing the Waitlist form you consent to the collection and processing of: your name, email address, Telegram username, area of trading interest, social media handle (if optionally provided), the referral code used, and your beta tester preference. This data is processed for the purpose of managing the Waitlist, communicating with you about the Service, and operating the referral and beta testing programmes. See Section 18 (Data Privacy) for full details.

5.4 Waitlist Benefits

Verified Waitlist members in good standing at the time of the Platform's public launch will be entitled to the following benefits, subject to these Terms:

These benefits are personal, non-transferable, and cannot be combined with any other promotional offer unless otherwise stated. We reserve the right to modify or withdraw these benefits with 14 days' notice to registered Waitlist members.

5.5 No Guarantee of Launch

Tradeflood AI provides no guarantee as to the timing of the Platform's public launch. Joining the Waitlist confers no right to compensation, damages, or refund of any kind in the event the launch is delayed or the Platform is not launched.

5.6 Removal from Waitlist

We reserve the right to remove any registrant from the Waitlist at our sole discretion, including where we have reason to believe the registrant has provided false information, violated these Terms, or resides in a restricted jurisdiction.

06 Beta Testing Programme

6.1 Programme Overview

The Tradeflood AI Beta Testing Programme ("Beta Programme") is a closed, invitation-only pre-launch access programme open to a maximum of 200 Waitlist participants who voluntarily opt in at the point of Waitlist registration. Acceptance is on a first-come, first-served basis until the cap of 200 is reached.

6.2 Acceptance & Notification

Opting in to the Beta Programme at registration does not guarantee acceptance. If the 200-participant cap has been reached at the time of your email verification, your Waitlist registration will still be confirmed but your Beta Programme preference will be noted as declined due to capacity. Accepted Beta Testers will receive a dedicated welcome communication to their verified email address.

6.3 Virtual Funds Only

All trading activity during the Beta Programme uses virtual (simulated) funds exclusively. No real money, cryptocurrency, or other financial instruments are deployed at any point during the beta testing phase. Virtual funds carry no monetary value, cannot be withdrawn, and will not be converted to real assets under any circumstances.

6.4 Purpose of the Beta Programme

The Beta Programme exists to:

6.6 Confidentiality

All information, materials, features, and communications shared with you as part of the Beta Programme are confidential and proprietary to the Company. You agree to maintain strict confidentiality and not to disclose any Beta Programme information to any third party without the Company's prior written consent. This obligation survives termination of your participation in the Beta Programme and remains in force for a period of two (2) years.

6.7 Beta Tester Benefits

Accepted Beta Testers who subscribe to the Platform at or after public launch are entitled to: (a) 30 days free on the Starter plan; or (b) a 15% discount on any plan above Starter for the first 12 months of their subscription. These benefits are in addition to standard Waitlist benefits and are non-transferable. The Beta Tester bonus (additional 5%) is contingent on active and good-faith participation during the Beta Programme.

6.8 No Liability for Beta Testing

The Platform during the Beta Programme is provided in an unfinished, pre-release state. We make no representations as to the accuracy, reliability, or completeness of any feature during this phase. Since only virtual funds are used, the Company accepts no liability for any simulated trading outcomes, data loss, or system errors experienced during the Beta Programme.

6.9 Termination of Beta Participation

The Company may remove any Beta Tester from the Beta Programme at any time and for any reason, including failure to participate actively, breach of confidentiality, or violation of these Terms. Removal from the Beta Programme does not affect your Waitlist registration or your entitlement to standard Waitlist benefits.

07 Referral Programme

7.1 How the Referral Programme Works

Upon verifying their email address, each Waitlist registrant is issued a unique personal referral code (e.g. "TF-ABCD1234"). The Company's own referral code is TF-OFFICIAL, which is used as the default when no personal referral code is presented.

Referral codes are non-transferable and remain the property of the Company. They are assigned for administrative and promotional tracking purposes only and do not constitute a financial instrument or entitlement of any kind independently of these Terms.

7.2 Sharing Your Referral Link

You may share your personal referral link (which appends your code to the Waitlist URL) via any lawful channel. You must not share your referral link: (a) in unsolicited bulk communications (spam); (b) through deceptive, misleading, or fraudulent means; (c) on platforms in violation of those platforms' own terms of service; or (d) in a way that implies endorsement by Tradeflood AI beyond what is expressly communicated in Company materials.

7.3 Referral Benefits

When a person joins the Waitlist using your referral link and successfully verifies their email address, both you (the referrer) and the new registrant (the referred person) are credited with the applicable Waitlist benefit described in Section 5.4. No cash payments, cryptocurrency transfers, or financial remuneration of any kind are offered under the referral programme at the Waitlist stage.

7.4 Referral Code Integrity

The referral code field in the Waitlist form is pre-populated and read-only. It will contain either your referrer's personal code (if you arrived via a referral link) or the Company's default code (TF-OFFICIAL). This is a security and tracking measure. Any attempt to manipulate, forge, or circumvent referral code assignment by technical or other means is a violation of these Terms.

7.5 Abuse of the Referral Programme

We reserve the right to void referral credits, remove a user from the Waitlist, and terminate their account if we determine — at our sole discretion — that referral codes have been used fraudulently, including creating fake accounts, using bots or scripts to generate referrals, or exploiting technical vulnerabilities in the referral system.

7.6 Modification of the Referral Programme

We reserve the right to modify, suspend, or terminate the referral programme at any time with 14 days' written notice to registered participants. Accrued referral credits at the time of termination will be honoured for a period of 90 days thereafter.

08 Account Registration

8.1 Account Creation

To access the full Platform at launch, you must create an account by providing a valid email address, a secure password, and any other information we reasonably require. You agree to complete any applicable identity verification (KYC) procedures before activating trading functionality.

8.2 Accuracy of Information

You represent and warrant that all information you provide during registration and throughout your use of the Service is accurate, current, complete, and not misleading. You agree to update your account information promptly whenever it changes. Providing false, inaccurate, or misleading information is a material breach of these Terms and may result in immediate account termination.

8.3 Email Verification

Account activation requires successful email verification. Accounts that have not been verified within the prescribed timeframe may be purged from our systems. We may send periodic re-verification requests in accordance with our security policies.

8.4 Account Security

You are solely responsible for: (a) maintaining the strict confidentiality of your password and two-factor authentication (2FA) credentials; (b) all activities that occur under your account; and (c) taking all reasonable steps to protect your account from unauthorised access. You must notify us immediately at security@tradeflood.ai if you suspect any unauthorised use of or access to your account. We will never ask you for your password via email or any channel other than the Platform's official login interface.

8.5 Two-Factor Authentication

We strongly recommend enabling two-factor authentication (2FA) on your account. Where 2FA is available and you choose not to enable it, you accept additional risk of unauthorised access and agree that the Company bears no liability for losses attributable to the absence of 2FA protection.

8.6 One Account Per Person

Each natural person may hold only one registered account. Creating, operating, or controlling multiple accounts — including through nominees or third parties — for any purpose, including circumventing subscription limits, referral caps, or access restrictions, is strictly prohibited and constitutes a material breach of these Terms.

8.7 Business Accounts

If you register on behalf of a business entity, the entity and any individual users accessing the Service through that entity's account are jointly and severally bound by these Terms. The individual completing registration represents that they have authority to bind the entity.

09 Non-Custodial Nature of the Service

Tradeflood AI does not hold, store, control, transfer, or have access to your cryptocurrency funds, fiat currency, or any other financial assets at any time.

The following non-custodial principles govern the Service:

10 Exchange API Keys

10.1 Encryption & Storage

API keys you provide are encrypted at rest using AES-256 encryption with unique per-key initialisation vectors. Secret keys are never stored in plain text, never logged, and never transmitted outside of the encrypted storage system except when required to authenticate an API call to the relevant exchange.

10.2 Permitted Use

We use your API keys solely to: (a) execute trades on exchanges as directed by the bots you activate; (b) read portfolio balances and trade history for dashboard display; and (c) retrieve real-time price and order book data. We will not use your API keys for any other purpose.

10.3 Your Responsibilities

You are responsible for:

10.4 Compromised Keys

If your API key is compromised through means attributable to negligence on your part — including failure to restrict withdrawal permissions, failure to use IP whitelisting, or disclosure of keys to third parties — the Company bears no liability for any resulting losses. If you believe your API key has been compromised through a fault in our systems, contact security@tradeflood.ai immediately.

10.5 Key Revocation by Exchange

Exchanges may revoke or suspend API keys at any time and without notice, including for detecting automated trading activity. The Company is not responsible for exchange-side revocations and the resulting disruption to bot operations. Active bots will cease to operate if their associated API key is revoked.

11 AI Trading Bots & Profit Protection Engine

11.1 Bot Operation

Our 20 AI trading bots operate autonomously according to their programmed strategies once you activate them. Each bot carries a published risk score (1–10). You are solely responsible for selecting bots appropriate to your risk tolerance, capital, and trading objectives. No Company employee or agent will manage bot selection on your behalf.

11.2 Bot Strategies

Bot strategies include, without limitation: centralised exchange arbitrage, decentralised exchange arbitrage, forex trading, cryptocurrency futures, P2P arbitrage, OTC trading, synthetic indices, and grid/DCA strategies. Detailed strategy descriptions are provided within the Platform. Strategy descriptions are for informational purposes only and do not constitute a guarantee of future performance.

11.3 Profit Protection Engine (PPE)

The PPE is a proprietary pre-trade validation layer that calculates projected net profit (after fees and estimated slippage) before authorising a bot to submit an order to an exchange. The PPE is designed to reduce the execution of unprofitable trades. The PPE does not guarantee profitability. Market conditions, exchange latency, fee changes, order book depth, and connectivity issues may cause actual outcomes to differ materially from PPE projections.

11.4 Kill Switch

You may deactivate any individual bot or all bots simultaneously at any time via the kill switch controls in the Platform. The kill switch applies to future orders only; the Company is not responsible for trades that have already been submitted to an exchange at the moment the kill switch is triggered. Per-bot drawdown thresholds can be configured and will automatically stop a bot upon reaching the specified loss level.

11.5 No Financial Advice

Nothing in the Platform, its documentation, marketing materials, or any communication from the Company constitutes financial advice, investment advice, tax advice, or a recommendation to trade any particular asset, strategy, or instrument. All decisions regarding bot activation, capital allocation, risk parameters, and exchange selection are made solely by you.

12 Risk Disclosure

CRYPTOCURRENCY AND ALGORITHMIC TRADING INVOLVES SUBSTANTIAL RISK OF FINANCIAL LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. DO NOT TRADE WITH FUNDS YOU CANNOT AFFORD TO LOSE.

By using the Service you acknowledge and accept the following risks:

12.1 Market Risk

Cryptocurrency markets are highly volatile and can move sharply and unpredictably in response to market events, regulatory news, technological developments, and macroeconomic factors. Past performance of any bot, strategy, or algorithm is not indicative of future results.

12.2 Algorithmic Risk

Automated trading algorithms, including those underlying our bots, can behave unexpectedly in unusual market conditions. Software bugs, data feed errors, and configuration mistakes can result in unintended trades or losses.

12.3 Exchange Risk

Exchanges can experience outages, connectivity failures, liquidity crises, hacks, regulatory shutdown, or bankruptcy. In such events, your funds held on the exchange may be inaccessible or lost. The Company has no control over and accepts no liability for exchange-side events.

12.4 Slippage & Execution Risk

There is no guarantee that a trade will be executed at the price displayed at the time the order is placed. Market conditions, order book depth, and network latency can cause executed prices to differ from projected prices.

12.5 Regulatory Risk

The regulatory landscape for cryptocurrency and algorithmic trading is evolving rapidly and varies by jurisdiction. Changes in law or regulation may affect your ability to use the Service, the legality of certain trading strategies, or the tax treatment of trading profits and losses.

12.6 Technology Risk

The Service depends on complex software, cloud infrastructure, internet connectivity, and third-party APIs. Service interruptions, software errors, cyberattacks, and infrastructure failures can disrupt bot operations and may result in missed opportunities or losses.

12.7 DeFi & Smart Contract Risk

Decentralised exchange and DeFi interactions are subject to smart contract risk, including exploits, vulnerabilities, and protocol changes. On-chain transactions are irreversible. The Company makes no representation regarding the security or reliability of any third-party smart contract or protocol.

13 Subscription Plans & Pricing

13.1 Available Plans

The Service is offered on a tiered subscription basis. Plan details, features, bot limits, and pricing are published on the Platform. Current indicative pricing ranges from $25 per month (STARTER) to $150 per month (ENTERPRISE). Exact plan features and pricing are confirmed at the time of subscription.

13.2 Price Changes

We reserve the right to change subscription pricing at any time. Existing subscribers will receive no less than 30 days' advance written notice of any price increase applicable to their current plan. Price increases take effect at the next renewal cycle following the notice period.

13.3 Free Trial & Promotional Periods

We may offer free trial periods or promotional pricing at our discretion. Unless otherwise stated, free trials automatically convert to paid subscriptions at the conclusion of the trial period. We will provide notice prior to conversion.

13.4 Waitlist & Beta Discounts

Discounts accrued under the Waitlist or Beta Programmes are applied at the time of subscription creation, cannot be carried forward after expiry, are non-transferable, and cannot be exchanged for cash. These discounts apply to the first 12 months of a paid subscription unless otherwise specified.

14 Payment Terms

14.1 Payment Processing

Payments are processed by authorised third-party payment processors including, without limitation, Paystack and NOWPayments. By subscribing, you agree to the terms of service of the applicable payment processor. We accept payment via debit/credit card, bank transfer, mobile money, and cryptocurrency (where available), subject to the capabilities of the payment processor and your jurisdiction.

14.2 Billing Cycle

Subscriptions are billed on a 30-day rolling cycle from the date of plan activation. The first charge occurs at the time of subscription. Subsequent charges occur automatically on the same calendar day each month.

14.3 Automatic Renewal

By subscribing, you authorise us to charge your payment method on file automatically at each renewal date for the applicable subscription fee until you cancel. You may cancel auto-renewal at any time via your account settings; cancellation takes effect at the end of the current billing period.

14.4 Failed Payments

If a payment fails, we will notify you and may retry the charge up to three (3) times over a period of seven (7) days. If the charge remains unsuccessful after retries, your account will be suspended. Access to trading functionality will be restored upon successful payment.

14.5 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for paying all taxes applicable to your subscription in your jurisdiction, including but not limited to value-added tax (VAT) and withholding tax.

14.6 Currency

All prices are quoted and charged in United States Dollars (USD) unless otherwise stated. If your payment method is denominated in a different currency, your bank or payment processor may apply conversion fees.

15 Refund Policy

15.1 General Non-Refundability

All subscription fees are non-refundable once the billing period has commenced. This applies regardless of whether you have used the Service during that period.

15.2 Exceptions

Exceptions to the non-refundability policy may apply in the following limited circumstances:

15.3 Refund Requests

All refund requests must be submitted to support@tradeflood.ai within 7 calendar days of the disputed charge, with your full name, registered email address, and the date and amount of the charge. We will review and respond to all refund requests within 14 business days.

15.4 Service Credits

In our sole discretion, we may offer service credits rather than monetary refunds. Service credits are non-transferable, have no cash value, and may only be applied against future subscription charges on the same account.

16 Prohibited Activities

You agree not to engage in any of the following prohibited activities. Violation of any prohibition constitutes a material breach of these Terms and may result in immediate account termination, referral to appropriate regulatory or law enforcement authorities, and pursuit of civil legal remedies:

  1. Market manipulation: Engaging in wash trading, spoofing, layering, front-running, ramping, or any other form of artificial price manipulation on any exchange connected to the Platform
  2. Money laundering: Using the Service to launder, conceal, or disguise the proceeds of any criminal activity in violation of Nigeria's Money Laundering (Prevention and Prohibition) Act 2022, the Financial Action Task Force (FATF) standards, or any applicable AML law
  3. Sanctions evasion: Using the Service in a manner designed to circumvent sanctions administered by OFAC, OFSI, the UN Security Council, the EU, or any Nigerian authority
  4. Fraud: Submitting false, inaccurate, or misleading information at any stage of registration, KYC verification, or support engagement
  5. Unauthorised access: Attempting to access any part of the Platform, infrastructure, database, or other user's account without authorisation
  6. Reverse engineering: Decompiling, disassembling, reverse-engineering, or attempting to extract source code, algorithms, or proprietary logic from any part of the Platform
  7. Redistribution: Reselling, sublicensing, or redistributing access to the Service without prior written authorisation from the Company
  8. Infrastructure abuse: Using automated scripts, bots, or other means to overload, disrupt, or degrade the performance of the Platform or its infrastructure
  9. Multiple accounts: Creating, operating, or controlling more than one account for the purpose of circumventing subscription limits, referral caps, or any other restriction
  10. Intellectual property infringement: Using any Company Intellectual Property, including branding, algorithms, bot names, and designs, without written authorisation
  11. Harmful content: Uploading or transmitting malware, viruses, ransomware, or any other malicious code through or to the Platform
  12. Illegal activity: Using the Service for any purpose that is unlawful under the laws of your jurisdiction or the Federal Republic of Nigeria

17 Intellectual Property

17.1 Ownership

All software, algorithms, bot strategies, PPE logic, UI/UX designs, branding, logos, trade names, trademarks, documentation, and all other content and materials associated with the Service are the exclusive intellectual property of Tradeweb Limited and/or its licensors, protected by Nigerian and international copyright, patent, trademark, and trade secret laws.

17.2 Licence Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your personal or internal business purposes during the term of your subscription or Waitlist participation, as applicable. This licence does not include any right to: (a) reproduce, modify, or create derivative works; (b) reverse engineer or attempt to extract source code; (c) sublicense or resell access; or (d) remove or alter proprietary notices.

17.3 Feedback

If you submit feedback, suggestions, bug reports, or ideas regarding the Service ("Feedback"), you hereby grant the Company a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, and incorporate such Feedback into the Service or any other product or service, without compensation or attribution to you.

17.4 User Content

You retain ownership of any trading configurations, custom parameters, or other content you create within the Platform. By entering such content, you grant the Company a limited licence to process, store, and display it as necessary to operate the Service. You represent that any content you submit does not infringe any third-party rights.

18 Data Privacy & Protection

18.1 Governing Legislation

The Company processes personal data in accordance with the Nigeria Data Protection Act 2023 (NDPA) and its implementing regulations issued by the Nigeria Data Protection Commission (NDPC). Where users are located in the European Economic Area, we also comply with the applicable provisions of the General Data Protection Regulation (GDPR). Where users are located in the United Kingdom, we comply with the UK GDPR and the Data Protection Act 2018.

We implement industry-standard technical and organisational measures to protect personal data, including: AES-256 encryption at rest, TLS 1.2+ encryption in transit, role-based access controls, regular security audits and penetration testing, and structured logging with automatic redaction of sensitive fields. No security system is impenetrable, and we cannot guarantee absolute security of data transmitted over the internet.

21 OFAC & Sanctions Compliance

21.1 Sanctions Screening

We conduct sanctions screening on all users and registrants against applicable Sanctions Lists, including those maintained by OFAC, OFSI, the UN Security Council, the EU, and relevant Nigerian authorities. Screening may occur at registration, at account activation, and periodically during the lifetime of your account.

21.2 Geo-blocking

We use IP geolocation technology to identify and block access from restricted jurisdictions. You acknowledge that geolocation is not infallible and that circumventing our geo-blocking measures (including via VPNs, proxies, or TOR) to access the Service from a restricted jurisdiction is a violation of these Terms and may violate applicable sanctions law.

21.3 Phone Prefix Checks

Where phone numbers are collected, we conduct phone prefix checks to identify registrants from restricted jurisdictions as an additional layer of screening.

21.4 Consequences of Sanctions Match

Where a user is identified as a designated person, located in a restricted jurisdiction, or otherwise in breach of applicable sanctions requirements, we will immediately suspend or terminate their account and may be required by law to report the matter to the relevant authorities. We will not be liable for any losses arising from account suspension or termination on sanctions grounds.

21.5 Restricted Jurisdictions

Our current list of 19 restricted jurisdictions is maintained internally and updated in real time to reflect changes in applicable sanctions lists. It includes, without limitation: Iran, North Korea, Russia, Belarus, Syria, Cuba, Venezuela, Myanmar, Sudan, South Sudan, Libya, Somalia, Yemen, Zimbabwe, Central African Republic, Democratic Republic of Congo, Mali, Guinea-Bissau, and the Crimea, Donetsk, and Luhansk regions of Ukraine. This list may change without notice.

22 Anti-Money Laundering & Know Your Customer

22.1 AML Obligations

The Company is committed to compliance with Nigeria's Money Laundering (Prevention and Prohibition) Act 2022, the Terrorism Prevention (Amendment) Act 2013, applicable FATF recommendations, and all other AML and counter-terrorism financing (CTF) obligations applicable to our business. We operate an AML programme that includes customer due diligence, transaction monitoring, and suspicious activity reporting.

22.2 KYC Verification

Before activating trading functionality on a live account, you may be required to complete a Know Your Customer (KYC) verification process. This process may include submission of government-issued identity documents, proof of address, and — for higher-risk profiles or larger transaction volumes — enhanced due diligence (EDD) documentation. KYC verification is conducted by or through a third-party KYC provider.

22.3 Politically Exposed Persons (PEPs)

Individuals who are or have been entrusted with a prominent public function, and their immediate family members and close associates ("Politically Exposed Persons"), are subject to enhanced due diligence. You must disclose your PEP status during registration or at any time your status changes. Failure to disclose PEP status is a material breach of these Terms.

22.4 Suspicious Activity

We monitor user activity for patterns consistent with money laundering, terrorism financing, sanctions evasion, and other financial crime. Where we identify suspicious activity, we are legally obligated to: (a) freeze the relevant account; (b) file a Suspicious Activity Report (SAR) with the Nigerian Financial Intelligence Unit (NFIU) or other competent authority; and (c) refrain from informing you that a SAR has been filed ("tipping-off" prohibition).

22.5 Source of Funds

We may require you to provide evidence of the source of funds used in connection with your trading activity. Failure to provide satisfactory evidence may result in account restrictions or termination.

23 Third-Party Services & Integrations

23.1 Third-Party Platforms

The Service integrates with a wide range of third-party platforms, including but not limited to: cryptocurrency exchanges (via CCXT and direct APIs), decentralised exchanges and DeFi protocols (via Ethers.js and web3 libraries), MT4/MT5 forex brokers, payment processors (Paystack, NOWPayments), email service providers (SendGrid), cloud infrastructure providers (AWS), and identity verification providers.

23.2 No Responsibility for Third Parties

We are not responsible for the availability, accuracy, reliability, security, or policies of any third-party platform or service. Your use of third-party platforms is subject to their respective terms of service and privacy policies. Disruptions, failures, or changes to third-party platforms — including exchange outages, API deprecations, and payment processor downtimes — may affect the Service without creating liability on the part of the Company.

23.3 Links

The Service may contain links to third-party websites or resources. These links are provided for convenience only. We do not endorse and are not responsible for the content, products, or services of any linked third-party site.

23.4 Telegram

We may use Telegram to communicate with Waitlist members, Beta Testers, and subscribers. By providing your Telegram username, you consent to being added to official Tradeflood AI Telegram groups and receiving communications via that channel. You may leave any Telegram group at any time. Telegram's privacy policy and terms of service govern your use of that platform.

24 Disclaimers & Limitation of Liability

24.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis, without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or reliability. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

24.2 No Liability for Trading Losses

Tradeflood AI Ltd and Tradeweb Limited shall not under any circumstances be liable for any trading losses, missed opportunities, unrealised profits, exchange fees, slippage costs, or any other financial harm arising from your use of the Service, the operation or failure of any trading bot, the decisions of the PPE, or any exchange connectivity issue.

24.3 Aggregate Liability Cap

To the maximum extent permitted by Nigerian law, the Company's total aggregate liability to you for all claims arising under or in connection with these Terms, regardless of the cause of action or legal theory, shall not exceed the total subscription fees actually paid by you to the Company in the three (3) calendar months immediately preceding the event giving rise to the claim.

24.4 Exclusion of Consequential Damages

The Company shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including: loss of profits, loss of revenue, loss of data, loss of business, loss of opportunity, business interruption, reputational damage, or cost of substitute goods or services — even if the Company has been advised of the possibility of such damages.

24.5 Force Majeure

The Company shall not be liable for any failure or delay in performance of the Service caused by circumstances beyond its reasonable control, including: acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government or regulatory actions, exchange outages, power failures, telecommunications failures, cyberattacks, or failure of third-party service providers.

24.6 Beta Programme Disclaimer

During the Beta Programme, the Platform is provided in a pre-release state and may contain bugs, errors, and incomplete features. No warranties of any kind are made regarding Beta Programme functionality, and the Company accepts no liability for any data loss, system errors, or simulated trading outcomes experienced during the Beta Programme.

25 Indemnification

You agree to indemnify, defend, and hold harmless the Company and its directors, officers, shareholders, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:

  1. Your use of or access to the Service
  2. Your violation of any provision of these Terms
  3. Your violation of any applicable law or regulation, including AML, sanctions, or data protection law
  4. Your violation of any rights of any third party, including intellectual property rights, privacy rights, or contractual rights
  5. Any trading activity conducted through your account, including losses suffered by third parties as a result of your bot configurations
  6. Any content, information, or data you submit to or through the Service
  7. Your fraud, wilful misconduct, or gross negligence

We reserve the right, at our own cost, to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with our defence of such claim.

26 Children's Privacy

The Service is not directed at or intended for use by persons under the age of 18. We do not knowingly collect, store, or process personal data from children under 18. If you are a parent or guardian and believe that a child under your care has provided us with personal data without your consent, please contact us immediately at privacy@tradeflood.ai. We will take prompt steps to verify and delete any such data.

In jurisdictions where the age of majority is higher than 18, the applicable age threshold applies for all purposes under these Terms.

27 Marketing Communications

27.1 Transactional Emails

By registering for the Waitlist or creating an account, you consent to receiving transactional emails, including: waitlist confirmation and verification emails, account verification emails, security alerts, payment receipts, subscription status updates, and critical service announcements. Transactional emails are integral to the Service and cannot be opted out of while your account remains active.

27.2 Marketing Emails

We may send you promotional communications, product updates, referral programme updates, and other marketing materials. Where required by applicable law, we will obtain your explicit consent before sending marketing emails. You may opt out of marketing communications at any time by clicking the "Unsubscribe" link in any marketing email or by contacting support@tradeflood.ai. Opt-out requests will be processed within 10 business days.

27.3 Telegram Notifications

By providing your Telegram username, you consent to receiving Tradeflood AI communications via Telegram, including bot alerts, Waitlist updates, and Beta Programme communications. You may opt out of Telegram communications by leaving the relevant group or requesting removal.

28 Platform Security

28.1 Security Architecture

We implement a comprehensive security programme including: OWASP Top 10 mitigation controls, rate limiting on all API endpoints, JWT-based authentication with 15-minute access token expiry and 7-day rotating refresh tokens, all tokens SHA-256 hashed in the database, AES-256 encryption of sensitive data at rest, TLS 1.2+ encryption in transit, brute-force protection on login and 2FA endpoints, suspicious IP detection, and structured security logging with automatic redaction of sensitive fields.

28.2 Responsible Disclosure

If you discover a security vulnerability in the Platform, you agree to: (a) notify us promptly and in confidence at security@tradeflood.ai; (b) not exploit the vulnerability or disclose it publicly before we have had a reasonable opportunity to investigate and remediate it; and (c) not access, modify, or delete data beyond what is strictly necessary to demonstrate the vulnerability. We will acknowledge your report within 48 hours and provide a substantive response within 14 days.

28.3 Prohibited Security Research

Automated vulnerability scanning, penetration testing, denial-of-service testing, or any form of active security research against our systems without prior written authorisation is strictly prohibited and may constitute a criminal offence under Nigerian law.

29 Service Availability & Modifications

29.1 Availability

We aim to provide a highly available Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to planned maintenance, emergency maintenance, or events beyond our control. We will endeavour to provide advance notice of planned maintenance via email or in-platform notification.

29.2 Modifications

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time, including adding or removing bots, changing exchange integrations, modifying the PPE, and updating subscription plan features. We will endeavour to provide 14 days' advance notice of material changes that adversely affect your use of the Service.

29.3 Discontinuation

If we decide to discontinue the Service entirely, we will provide registered users with no less than 90 days' written notice and will refund any prepaid subscription fees covering the period beyond discontinuation on a pro-rata basis.

30 Termination

30.1 Termination by You

You may close your account at any time by contacting support@tradeflood.ai or using the account deletion feature in your account settings. Closing your account does not entitle you to a refund of any prepaid subscription fees for the current billing period. All active bots will be deactivated upon account closure.

30.2 Termination by the Company

We may suspend or terminate your account, with or without notice, in any of the following circumstances:

Upon termination: (a) your licence to access and use the Service is immediately revoked; (b) all active bots are deactivated and API keys are deleted from our systems; (c) access to your account and its data is disabled; and (d) any accrued Waitlist benefits, referral credits, or Beta Programme benefits are forfeited. Trade history and other data may be retained as required by applicable law (see Section 18.6).

30.4 Survival

The following provisions survive termination of these Terms: Sections 12 (Risk Disclosure), 17 (Intellectual Property), 18 (Data Privacy), 21 (OFAC), 22 (AML/KYC), 24 (Limitation of Liability), 25 (Indemnification), 31 (Governing Law), and 32 (General Provisions).

31 Governing Law & Dispute Resolution

31.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

31.2 Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact the Company at legal@tradeflood.ai and attempt to resolve the dispute in good faith. The parties will have a period of 30 calendar days from the date of written notice to resolve the dispute informally.

31.3 Arbitration

If the dispute is not resolved informally within 30 days, it shall be submitted to final and binding arbitration in Lagos, Nigeria, administered under the Arbitration and Conciliation Act (ACA) Cap A18, Laws of the Federation of Nigeria 2004 (as amended), with such amendments as may be in force. The arbitration shall be conducted by a single arbitrator mutually agreed by the parties, or if no agreement is reached within 14 days, appointed by the Lagos Court of Arbitration. The language of the arbitration shall be English. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.

31.4 Exceptions to Arbitration

Nothing in this Section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction to prevent irreparable harm, protect intellectual property, or enforce confidentiality obligations pending arbitration.

31.5 Class Action Waiver

To the fullest extent permitted by applicable law, you waive any right to commence, participate in, or be represented as a class representative in any class action, consolidated action, or representative proceeding against the Company. All disputes must be brought in your individual capacity only.

31.6 Jurisdiction for Non-Arbitrable Claims

For claims that are not subject to arbitration, you irrevocably submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

32 General Provisions

32.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and the Company with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether oral or written.

32.2 Severability

If any provision of these Terms is found by a competent authority to be invalid, unlawful, or unenforceable in any jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these Terms. The modification or severance of any provision shall not affect the validity and enforceability of the remaining provisions.

32.3 No Waiver

The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver by the Company of any breach of these Terms by you shall not be construed as a waiver of any subsequent breach.

32.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms, in whole or in part, without our prior written consent. Any purported assignment without such consent is void. The Company may freely assign these Terms, in whole or in part, including in connection with a merger, acquisition, corporate restructuring, or sale of assets, without your consent.

32.5 Notices

All notices from the Company to you will be delivered to your registered email address. Notices from you to the Company must be sent to legal@tradeflood.ai for legal matters or support@tradeflood.ai for all other matters. Notices are deemed received: (a) by the Company, upon our written acknowledgment; and (b) by you, 24 hours after the email is sent to your registered address.

32.6 Relationship of the Parties

Nothing in these Terms shall be construed to create any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and the Company. You have no authority to bind the Company in any way.

32.7 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any conflict or inconsistency.

33 Amendments to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

Your continued use of the Service after the effective date of the amended Terms constitutes your acceptance of the changes. If you do not agree to the amended Terms, you must stop using the Service and, if applicable, close your account before the effective date of the changes.

For non-material changes (such as corrections of typographical errors, clarifications that do not alter your rights, or changes required by law with immediate effect), we may update these Terms without advance notice, though we will always update the "Last Updated" date.
